Overview
Michael Rebagliati focuses his practice on transactional business and finance matters. He represents both buy-side and sell-side clients across a wide variety of deal structures and industries in the Pacific Northwest and beyond.
Michael’s merger and acquisition work involves drafting and negotiating transaction agreements, conducting due diligence on acquisition targets, running due diligence calls with representation and warranty insurance carriers, preparing transaction disclosure schedules, and advising clients on all other relevant aspects of the deal process. Michael frequently interfaces with federal, state and local governments to facilitate permit transfers and approvals ahead of acquisition closings.
Michael also enjoys representing startup companies and assisting entrepreneurs in founding their businesses. Michael’s work for startup clients includes preparing company formation documents and stock incentive plans as well as handling various outside corporate counsel matters.
Additionally, Michael advises clients on various U.S. Small Business Administration compliance matters, particularly with respect to the Paycheck Protection Program and other government lending programs.
Prior to law school, Michael worked as a private equity and venture capital fund analyst for PitchBook Data.
